(NASDAQ: HAS), a global play and entertainment company, and Saban Properties LLC today announced that the companies have signed a definitive agreement for Hasbro to purchase Saban’s Power Rangers and several other entertainment brands, including My Pet Monster, Popples, Julius Jr., Luna Petunia, Treehouse Detectives and others, in a combination of cash and stock valued at $522 million.

    Transaction Details
    Hasbro has previously paid Saban Brands$22.25 million pursuant to the Power Rangers master toy license agreement, announced by the parties in February of 2018, that was scheduled to begin in 2019. Those amounts are being credited against the purchase price. Under the terms of the purchase agreement, Hasbro will pay an additional $229.75 million in cash and will issue $270 million worth of Hasbro common stock for the Power Rangers brand and several other entertainment brands. The agreement includes all related intellectual property, category rights and content libraries owned by Saban Properties and its affiliates. The transaction is subject to a number of customary closing conditions, including obtaining required regulatory approvals, and is expected to close during the second quarter of 2018.

    The transaction, including intangible amortization expense, is not expected to have a material impact on Hasbro’s 2018 results of operations.

    J.P. Morgan Securities LLC is serving as financial advisor to Hasbro.

    Hasbro to Buy Power Rangers Brand from Saban Brands?

    In the joint press release from Saban Brands and Hasbro, the following was mentioned:

    “In recognition of this investment and during a period of time after Hasbro becomes the master toy licensee, the arrangement provides Saban Brands and Hasbro with the opportunity to initiate Hasbro’s purchase of the Power Rangers property.”

    Does this mean that Saban Brands would be ready to sell off Power Rangers entirely or certain parts of the brand? This story is still developing.

    Hasbro Will Be New Toy Maker For Power Rangers in 2019

    According to the Hollywood Reporter, Hasbro will be the master toy maker for Saban Brands’ Power Rangers.

    “The toy manufacturer will control the master toy license for Power Rangers worldwide, with the exception of Japan and a small number of other Asian markets, where it will remain with longtime partner Bandai.”

    Gareth Yuen in “Ronny Chieng: International Student”


    Gareth Yuen (Dax from Power Rangers Operation Overdrive) co-stars in the BBC comedy Ronny Chieng: International Student.

    It stars comedian Ronny Chieng, in a self-titled role where he moves from Malaysia to Australia to enroll in law school.  Yuen plays Ronny’s friend and fellow student Denedict.

    In Celebration of Power Rangers’ 25th Anniversary, Power Rangers Live Tour to Launch in Spring 2018 in 50 North American Cities, Including Los Angeles and Toronto

    Los Angeles – October 10, 2017 – In celebration of Saban’s Power Rangers’ 25th Anniversary, the iconic Rangers are set to morph onto stages around North America in an epic live show based on one of the longest running series in television history. Power Rangers Live will be an interactive, mixed media stage production for the whole family with endless action-packed stunts and epic martial arts. Featuring themes from Power Rangers Ninja Steel, six ordinary teens will morph into the Power Rangers to help save cities and the world from an alien threat! Kicking off in Phoenix, AZ on February 17, 2018, the tour will visit an additional 50 North American cities in Spring 2018, including Los Angeles and Toronto.

    Citi is the official card of Saban’s Power Rangers Live. Beginning Tuesday, October 10, 2017, at 12pm (local time), Citi card members will have access to a special pre-sale, as well as VIP packages that include a meet and greet with the Power Rangers through Citi’s Private Pass Program. The public on sale date will be Friday, October 13 at 10:00 a.m. (local time).

    The live tour will be part of a year-long celebration of 25 powerful years of Saban’s Power Rangers and the core pillars of the brand: inclusivity, diversity, and teamwork.

    Created by Haim Saban and launched in 1993, Mighty Morphin Power Rangers quickly became a pop culture phenomenon. Today, Power Rangers is one of the longest running kids live-action series in television history. The series, currently in its 24th season with Power Rangers Ninja Steel, and subsequent movies, including 2017’s feature film with Lionsgate, follows the adventures of a group of ordinary teens who morph into superheroes and save the world from evil.     Christina Masterson in “Truth or Dare”

    Christina Masterson (Emma from Power Rangers Megaforce) appears in the SyFy original movie Truth or Dare(Warning: Trailer contains graphic images.)

    Eight college friends head to a “Haunted Rental” in a remote town for Halloween weekend. There, they play the game rumored to have caused the deaths of seven teenagers decades earlier, Truth or Dare. What starts out as vodka induced fun, quickly turns serious when the dares become sickeningly dangerous and the truths threaten to tear the group apart. When players attempt to refuse the increasingly challenging tasks, they’re met with deadly consequences, quickly discovering: you must do the dare, or the dare does you. As the death toll mounts, the remaining players must race against the clock to outrun, outsmart and outlast the simple game of Truth or Dare.

    Also starring Cassie Scerbo, Brytni Sarpy, Mason Dye, Harvey Guillen, Luke Baines, Ricardo Hoyos, Alexxis Lemire and Heather Langenkamp. It premiered October 8, 2017 and will repeat throughout the month on SyFy.

    Davi Santos (Ivan from Power Rangers Dino Charge) appeared in the October 5, 2017 episode of NBC’s Will & Grace.

    As Will and Jack recount their evening at a night club, he can be seen for a quick second giving a snarky response to his friend in regard to Jack’s advances. The episode is #1102, “Who’s Your Daddy”.

    Ron Roggé in “SEAL Team”

    Ron Roggé (Captain Mitchell from Power Rangers Lightspeed Rescue) can be seen in the September 27, 2017 series premiere episode of CBS’s SEAL Team.

    He plays Captain Bryce, superior of the entire unit conducting the operation, only appearing over a TV screen during the halfway point of the episode.  The episode is #101, “Tip of the Spear”.

    Chris Violette in “Star Trek: Discovery”


    Chris Violette (Sky from Power Rangers SPD) appeared in the September 24, 2017 series premiere episode of CBS’s Star Trek: Discovery.

    He plays Britch Weeton, operator of the U.S.S. Shenzhou’s transporter that receives a couple of lines of dialogue toward the end of the second act. The episode is #101, “The Vulcan Hello”.

    Camille Hyde in “American Vandal”

    Camille Hyde (Shelby from Power Rangers Dino Charge) co-stars in a new Netflix mockumentary series entitled American Vandal.

    From co-creators Tony Yacenda (Pillow Talking) and Dan Perrault (Honest Trailers), and showrunner Dan Lagana (Zach Stone Is Gonna Be Famous), American Vandal is a half-hour true-crime satire that explores the aftermath of a costly high school prank that left twenty-seven faculty cars vandalized with phallic images. Over the course of the eight-episode season, an aspiring sophomore documentarian investigates the controversial and potentially unjust expulsion of troubled senior (and known dick-drawer) Dylan Maxwell. Not unlike its now iconic true-crime predecessors, the addictive American Vandal will leave one question on everyone’s minds until the very end: Who drew the dicks?

    MMPR Cast Members Appearing on “Live at Five”

    Walter Jones (Zack from Mighty Morphin Power Rangers), David Yost (Billy from MMPR), Johnny Yong Bosch (Adam from MMPR) and Karan Ashley (Aisha from MMPR) were in Scotland promoting their appearance at the MCM Comic Expo as featured guests on STV’s talk show Live at Five.

    In the interview, they discuss being part of such a lasting brand, what it felt like literally and figuratively to wear the spandex, and they even strike the iconic morphing pose.  You can view the segment below.
